1. Definitions

1.1. "Platform" refers to 3DuckMall, an online marketplace facilitating the sale of products by multiple vendors to customers worldwide.

1.2. "Vendor" refers to the individual or business entity that registers to sell products on the Platform.

1.3. "Customer" refers to any individual or entity that purchases products listed by the Vendor on the Platform.

1.4. "Products" refers to the goods or services that the Vendor lists for sale on the Platform.

1.5. "Content" refers to all information, images, descriptions, and materials provided by the Vendor related to the Products.

2. Vendor Registration and Obligations

2.1. Registration: The Vendor must complete the registration process by providing accurate and complete information as required by the Platform. The Platform reserves the right to approve or reject any registration at its discretion.

2.2. Compliance: The Vendor agrees to comply with all applicable laws, regulations, and Platform policies, including but not limited to those related to product listings, pricing, and customer interactions.

2.3. Account Security: The Vendor is responsible for maintaining the confidentiality of their account information and for all activities that occur under their account.

3. Product Listings and Content

3.1. Accuracy: The Vendor shall ensure that all Product listings are accurate, complete, and not misleading.

3.2. Prohibited Products: The Vendor shall not list any Products that are illegal, infringe on intellectual property rights, or are prohibited by the Platform's policies.

3.3. Content License: The Vendor grants the Platform a non-exclusive, royalty-free license to use, reproduce, modify, and display the Content for the purposes of operating and promoting the Platform.

4. Order Processing and Fulfillment

4.1. Order Acceptance: The Vendor is responsible for accepting and fulfilling orders placed by Customers through the Platform.

4.2. Shipping: The Vendor shall ship Products in accordance with the shipping options and timelines specified in their listings.

4.3. Returns and Refunds: The Vendor agrees to the Platform's return and refund policies and shall process returns and refunds in a timely manner.

5. Fees and Payments

5.1. Commission: The Platform shall charge a commission on each sale made by the Vendor through the Platform, as specified in the Platform's fee schedule.

5.2. Payment Terms: Payments to the Vendor, minus applicable commissions and fees, will be disbursed in accordance with the Platform's payment schedule.

6. Intellectual Property

6.1. Ownership: The Vendor retains ownership of all intellectual property rights in their Products and Content.

6.2. Infringement: The Vendor warrants that their Products and Content do not infringe upon the intellectual property rights of any third party.

7. Confidentiality

7.1. Confidential Information: Both parties agree to keep confidential any proprietary information received from the other party that is not publicly available.

8. Term and Termination

8.1. Term: This Agreement shall commence on the Effective Date and continue until terminated by either party.

8.2. Termination: Either party may terminate this Agreement with [30] days' written notice. The Platform may terminate this Agreement immediately for cause, including but not limited to breaches of this Agreement or Platform policies.

9. Limitation of Liability

10. Indemnification

10.1. Vendor Indemnity: The Vendor agrees to indemnify and hold harmless the Platform from any claims, damages, or expenses arising out of the Vendor's breach of this Agreement or violation of any laws.

11. Governing Law and Dispute Resolution

11.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
